These Terms of Service ("Terms") are a binding agreement between you and AAA Designs LLC ("AAA Designs," "we," "us," or "our"), a Wyoming limited liability company, governing your use of APEX (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
APEX is an AI-powered personal assistant that, at your direction, helps you manage tasks such as email, calendar, content, leads, and daily briefings, and can connect to third-party services you authorize. The Service may be offered in beta and is provided as-is and may change, break, or be discontinued.
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information and for all activity under your account. You are responsible for keeping your password secure. Notify us promptly of any unauthorized use. We are not liable for losses caused by someone using your account where we were not at fault.
APEX operates on an approve-then-execute model. APEX may draft messages, propose calendar changes, prepare outreach, and queue other actions, but it does not send, delete, publish, or modify anything in a connected account until you explicitly approve that specific action. You acknowledge that you are responsible for reviewing every action before you approve it; that AI systems can make mistakes, including drafting inaccurate or unintended content; and that you will not rely on APEX for time-critical or high-stakes actions without your own verification. Once you approve an action, you authorize APEX to carry it out, and you are responsible for the result.
The Service uses artificial intelligence to generate content and suggestions. AI output may be inaccurate, incomplete, or unsuitable for your situation. APEX does not provide legal, financial, tax, medical, or other professional advice, and nothing it produces is a substitute for a qualified professional. You are solely responsible for evaluating and using any output.
No guarantee of results. APEX does not guarantee any particular financial, investment, business, or other outcome. Information relating to markets, real estate, wealth, or performance is general in nature and may be inaccurate or out of date. Any decision or action you take based on the Service is your own, and past results do not guarantee future results.
Actions you authorize. APEX proposes actions — such as sending an email, replying to a message, or creating a calendar event — and executes them only after you approve them. You are solely responsible for any action you approve or authorize, including its content, recipients, timing, and consequences. Review each proposed action before approving it; we are not liable for actions you approved.
You agree not to use the Service to violate any law or third party's rights; send spam, phishing, or malware; upload or generate content that is fraudulent, deceptive, or infringing; access data you are not authorized to access; attempt to breach, probe, or disrupt the security or integrity of the Service or other users' data; reverse engineer, scrape, or resell the Service except as permitted by law; harm, harass, deceive, or impersonate others; or violate the terms of any third-party service you connect (including Google's terms). We may suspend or terminate accounts that violate these Terms.
Reporting abuse. If you believe content or activity on the Service violates these Terms — including scams, fraud, malware, harassment, or other abuse — please report it to support@apexcommand.app. For copyright specifically, use the process in our Copyright & DMCA Policy. We review reports and may remove content or suspend accounts at our discretion.
Regulated and sensitive data (including PHI). APEX is a general productivity tool and is not a HIPAA-covered service; we do not enter into Business Associate Agreements. You agree not to use the Service to store, process, or transmit Protected Health Information (PHI) or other data subject to specialized regulatory regimes (such as HIPAA, or cardholder data under PCI-DSS), unless we expressly agree otherwise in a signed writing. You are solely responsible for ensuring that your use of the Service complies with all laws and regulations that apply to you and your data.
Export and sanctions. You represent that you are not located in, and are not using the Service on behalf of anyone in, a country or region subject to comprehensive U.S. sanctions or embargo, and that you are not on any U.S. government restricted-party or sanctions list. You agree not to use the Service in violation of applicable export-control or economic-sanctions laws.
The Service integrates with third-party services (such as Google) that you choose to connect. Your use of those services is governed by their own terms and privacy policies, and you authorize APEX to access them on your behalf within the scopes you grant. We are not responsible for third-party services. APEX's use of Google data complies with the Google API Services User Data Policy, including Limited Use requirements (see our Privacy Policy).
You retain ownership of the content you provide to the Service. You grant us a limited, non-exclusive license to host, process, and transmit that content solely to operate and provide the Service to you (including sending it to the AI and infrastructure providers described in our Privacy Policy). We do not claim ownership of your content and do not use it to train AI models. You represent that you have the rights to the content you provide and to authorize the connections you enable.
Plans and prices. APEX is offered as a paid monthly subscription in tiers: APEX Core ($49/month), APEX Command ($99/month), and APEX VIP ($199/month) (USD). Prices are shown at checkout and may change on a going-forward basis with notice; a price change never affects the current paid term.
Free trial that converts to a paid subscription. New subscriptions begin with a 7-day free trial. You provide a payment method to start the trial. Unless you cancel before the trial ends, your subscription automatically converts to a paid plan and your payment method is automatically charged the then-current monthly price, and then automatically charged that price every month, on a recurring basis, until you cancel. This is an auto-renewing subscription (a negative-option feature).
How to cancel. You may cancel at any time — before the trial ends to avoid any charge, or later to stop future renewals — from the customer portal linked in your order-confirmation and receipt emails, or by emailing support@apexcommand.app. Cancellation stops future renewals; you keep access through the end of the period you have already paid for. See our Refund & Cancellation Policy.
Payments and Merchant of Record. Payments are processed by Lemon Squeezy, which acts as our Merchant of Record and reseller. This means Lemon Squeezy is the seller of record for your purchase, handles billing and applicable sales tax/VAT, and its buyer terms and privacy notice also apply to the payment transaction. Your subscription entitlements within APEX are governed by these Terms.
Refunds. Refunds, where offered, are described in our Refund & Cancellation Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE. YOU USE THE SERVICE AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AAA DESIGNS AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold harmless AAA Designs and its members, officers, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party right.
You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination (including Sections 7, 9, 10, 11, 13, and 14) will survive.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its rules, seated in Sheridan, Wyoming, and you and we waive the right to a jury trial and to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@apexcommand.app.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use after changes means you accept the updated Terms.
We respect intellectual property rights and expect you to do the same. You may not upload, store, generate, or share content that infringes any copyright or other intellectual property right. We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act, and we will, in appropriate circumstances, suspend or terminate the accounts of repeat infringers. Our notice-and-takedown process, counter-notification process, and Designated Copyright Agent contact are described in our Copyright & DMCA Policy, which is incorporated into these Terms.
AI-generated content. The Service can generate images, graphics, designs, copy, and other media at your direction. Generated output may be inaccurate and may unintentionally resemble, incorporate, or infringe third-party names, brands, trademarks, logos, copyrighted works, or personal likenesses. You are solely responsible for reviewing any content the Service generates and for obtaining all rights, licenses, and permissions necessary before you use, publish, distribute, print, or otherwise rely on it. You will not use generated content in any way that infringes a third party's rights or violates any law, and your indemnification obligations in Section 11 apply in full to your use of generated content. We make no representation that generated content is original, non-infringing, cleared for any use, or fit for any particular purpose.
